Terms and Conditions

These terms govern the C16.ai subscription service provided by PEOL Technologies Private Limited. Please read them before you subscribe, connect an SAP system or use the service.
1. Who we are and acceptance of these terms
C16.ai (referred to as "C16" or "the service") is provided by PEOL Technologies Private Limited, a company registered in India with its principal place of business in Bengaluru, Karnataka ("PEOL", "we", "us"). PEOL is an SAP Partner. C16 is PEOL's own product and is not an SAP product.
The service is offered to businesses and organisations only, not to consumers. By placing an order, creating an account, connecting an SAP system or otherwise using the service, the customer ("you", "the customer") agrees to these terms and confirms that the person accepting them has authority to bind the customer. For orders placed through SAP Store, the SAP Store terms govern the order, billing and cancellation, and these terms govern use of the service.
2. The service
C16 is a subscription software service that connects to the customer's own SAP system through a service user that the customer provisions and controls. C16 reads code, metadata, configuration and business data from that system to produce analysis, documentation, assessments, generated code and related outputs. Analysis performed by the service is read-only.
Generated code, specifications or configuration are deployed to the customer's SAP system only after approval by the customer's authorised user and only through the customer's own transport process. The customer is solely responsible for reviewing, testing, approving and deploying every output, and for the consequences of doing so.
3. Accounts and access
Access is granted to the named users stated in the order. User accounts are personal and may not be shared. The customer is responsible for all activity under its accounts and must notify us promptly at [email protected] of any unauthorised access. PEOL may suspend an account that it reasonably believes is being misused.
4. Customer responsibilities
The customer confirms that it has the authority to connect each SAP system it connects to C16 and that doing so does not breach any agreement it has with SAP or any other party. The customer provides and controls the service user, scopes it to the authorisations it considers appropriate, and may change or revoke it at any time.
The customer is solely responsible for complying with its own SAP licence terms, including any indirect access or digital access obligations that may arise from connecting a third-party application to its SAP system, for maintaining its own backups and change-management controls, and for ensuring that it has the right to process any data it makes available to the service.
5. Acceptable use
The customer must not, and must not allow anyone else to: reverse engineer, decompile or attempt to extract the source code, models, prompts or methods behind the service; use the service to build, train or benchmark a competing product; use the service for unlawful, infringing or harmful purposes; or interfere with the security or integrity of the service. The service may not be resold, sublicensed or provided to third parties except under a written agreement with PEOL.
6. Customer data and privacy
Customer data, including SAP source code, metadata, configuration and business data, remains the property of the customer. The customer grants PEOL the right to process customer data to provide, support, secure and improve the service. Customer data is not used to train AI models. SAP business data queried during a session is processed transiently to answer that request.
Details of how data is handled are set out in our privacy statement at www.peolsolutions.com/privacy/ and in the data processing agreement, which is available on request. PEOL uses cloud hosting and AI model providers as sub-processors. PEOL Technologies is ISO 27001 certified and SOC 2 Type II compliant.
7. AI-generated output
Outputs of the service are generated with AI assistance and may contain errors, omissions or inaccuracies. The customer must review every output with suitably qualified people before relying on it or deploying it. PEOL gives no warranty that any output is accurate, complete, non-infringing or fit for any purpose, and accepts no liability for any use the customer makes of an output. C16 does not provide legal, tax, audit, regulatory or financial advice.
8. Intellectual property
PEOL owns and retains all rights in the service, including its software, models, prompts, workflows, methods, templates, documentation and improvements. The customer receives only a non-exclusive, non-transferable right to use the service for its internal business purposes during the subscription term. The customer owns its data and may use the outputs generated from its data, subject to PEOL's rights in the service and in any general-purpose material included in those outputs. Any feedback given to PEOL may be used freely and without obligation.
9. Fees and payment
Fees are as stated in the order or, for orders placed through SAP Store, as shown on SAP Store at the time of purchase. All fees are exclusive of taxes, which the customer pays in addition where applicable. Fees are non-refundable. PEOL may suspend access to the service while any amount is overdue.
10. Term and termination
The subscription runs for the term stated in the order and renews as stated there or, for SAP Store orders, as provided by the SAP Store order mechanism. Either party may terminate the subscription by written notice if the other party materially breaches these terms and fails to cure the breach within 30 days of notice. PEOL may also suspend or terminate access immediately where continued use presents a security, legal or reputational risk to PEOL or to any SAP system.
On termination the customer's right to use the service ends, any fees already invoiced remain payable, and PEOL may delete workspace artefacts and connection details. Sections 6 to 8 and 11 to 16 survive termination.
11. Confidentiality
Each party will keep the other party's non-public information confidential and use it only for the purposes of these terms, except where the information is or becomes public through no fault of the receiving party, was already lawfully known to it, is independently developed, or must be disclosed by law. The service, its documentation, pricing and non-public technical details are PEOL's confidential information.
12. Warranties and disclaimers
The service is provided "as is" and "as available". To the fullest extent permitted by law, PEOL excludes all warranties, conditions and representations, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. PEOL does not warrant that the service will be uninterrupted, error-free or secure, or that it will meet the customer's requirements.
13. Limitation of liability
To the fullest extent permitted by law, PEOL is not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, goodwill or data, or for any loss arising from the customer's use of an output, from changes made to any SAP system, or from the customer's SAP licence obligations, however arising.
PEOL's total aggregate liability arising out of or in connection with the service and these terms, whether in contract, tort or otherwise, is limited to the fees actually paid by the customer for the service in the 12 months immediately before the event giving rise to the claim. This limit applies to all claims together and does not apply only to liability that cannot be limited by law.
14. Indemnity
The customer will defend, indemnify and hold harmless PEOL, its directors, employees and partners against any claim, loss, cost or liability arising from customer data, from the customer's SAP licence obligations, from any deployment or change made to an SAP system on the basis of an output, or from the customer's use of the service in breach of these terms or applicable law.
15. Third-party services and SAP
The service depends on third-party services that PEOL does not control, including the customer's SAP system, cloud hosting infrastructure and AI model providers. PEOL is not responsible for the availability, performance or conduct of any third-party service. SAP and other SAP products and services mentioned on this page are trademarks or registered trademarks of SAP SE in Germany and other countries. C16 is a product of PEOL Technologies Private Limited, an SAP Partner, and is not an SAP product. SAP does not endorse, warrant or support C16.
16. Changes
PEOL may modify, update or discontinue any part of the service, and may update these terms, at any time. The current terms are published at c16.ai/terms/ and the "last updated" date shows when they changed. Continued use of the service after a change constitutes acceptance of the updated terms.
17. General
These terms, together with the order and any data processing agreement, form the entire agreement between the parties on their subject matter. The customer may not assign these terms without PEOL's written consent; PEOL may assign them to an affiliate or successor. Neither party is liable for delay or failure caused by events beyond its reasonable control. Notices must be given in writing by email, to PEOL at [email protected] and to the customer at the address on the order. If any provision is held unenforceable, the rest of these terms continue in force. No waiver is effective unless made in writing.
18. Governing law and disputes
These terms and any dispute arising out of or in connection with them are governed by the laws of India. The courts of Bengaluru, Karnataka, India have exclusive jurisdiction. Nothing in this section prevents PEOL from seeking injunctive relief in any competent court.
